Question 1
You once again have a brilliant idea for your car detailing business. You will give away FREE T-shirts to all of your customers. This will help you generate FREE advertising.

So, you visit your local T-shirt shop on August 17th and they help you design a shirt. You tell the owner, Tom Tshirts, that you need 300 shirts by September 15th and hand Tom a check for $500 as a deposit.

You tell Tom that you will pay the balance of $500 when you pick up the shirts.

Later that day, Tom emails you, ?Per our conversation today, here is the design for your Tshirts.? Attached to the e-mail is a .pdf file showing a picture of the special design for the front of the T-shirts. The design includes the name of your business, address, phone, and website.

Two weeks before the scheduled pick up date, you learn that you cannot use the name “Trusty Car Detail” because you received a cease and desist letter from an attorney. The letter advises that you are violating the registered trademark of “Trusty Car Detail,” a business located in St. Louis, Missouri. Even though you aren”t sure if this letter is valid or not, you”ve got to cancel the Tshirt order until you can figure out how to proceed, if you need to change your business name, etc.

You call Tom to cancel the T-shirt order. Tom tells you that he”s sorry to hear about the legal mess, but he”s on the last 20 shirts ? the other 280 shirts have already been printed. Tom tells you to come by on Tuesday to pick up the shirt order and pay the balance.

Discuss this contract situation and whether a court would require you (Sam Student) to pay for all, some, or none of the shirts.
